NOTICE: These Terms apply to all quotes, orders, invoices, sales, shipments, and services provided by ULTRA AUTO PARTS LLC (“UAP”). The invoice controls if there is any conflict. Any verbal statements or messages do not modify these Terms unless confirmed in writing by UAP.

Overview (Plain Language):
  • Customer must provide accurate vehicle information (VIN recommended) and confirm fitment before installation.
  • Warranty coverage (if any) is limited and is controlled by the invoice and UAP’s published Warranty Policy.
  • Returns/refunds (if approved) require inspection and compliance with the return process; shipping is generally non-refundable.
  • UAP is not responsible for labor, diagnostics, towing, downtime, or consequential damages, to the maximum extent permitted by law.
  • This document includes our Privacy Policy and SMS Policy & Consent sections below.
Critical: No labor reimbursement, repair, replacement, or refund is authorized without prior written approval when required. Unauthorized teardown/repair or continued operation after suspected failure may void warranty coverage.

1) Acceptance, Priority of Documents & Entire Agreement

By requesting a quote, placing an order, paying an invoice, authorizing shipment, receiving goods, or installing any product sold by UAP, the customer acknowledges and agrees to these Terms and Conditions. These Terms, together with the invoice and any UAP written addendum, constitute the entire agreement between the parties regarding the transaction and supersede any prior communications or representations.

UAP reserves the right to update these Terms at any time. The version in effect at the time of invoice issuance governs that transaction unless otherwise required by law.

2) Quotes, Orders, Cancellations & Special Orders

  • Quotes: Quotes are estimates and do not guarantee availability or final pricing unless stated on the invoice.
  • Order Confirmation: The invoice is the official confirmation of the product, warranty (if any), and price.
  • Cancellations: Orders may be canceled only if the order has not been processed/shipped. If processing, freight booking, crating, or shipment has occurred, cancellation may be denied or may incur fees.
  • Special Orders: Certain products may be designated as special order/non-cancelable/non-returnable (including but not limited to custom-built, special-sourced, or one-off items). Any such designation will be stated on the invoice.

3) Customer Responsibility — Vehicle Information, Fitment & Compatibility

The customer is solely responsible for providing complete and accurate vehicle information, including year/make/model, engine size, drivetrain, and VIN (strongly recommended). The customer must verify compatibility before installation.

Incorrect Info / Wrong Part: Providing incorrect vehicle information or installing a part that does not match the vehicle may void return/warranty eligibility.

4) Condition of Parts Sold (USED / REMAN / RECONDITIONED)

Products may be sold as USED, REMANUFACTURED, RECONDITIONED, or otherwise described on the invoice. USED parts may show normal wear, cosmetic imperfections, oxidation, or surface rust consistent with recycled components.

  • Photos are representative unless explicitly stated otherwise on the invoice.
  • UAP does not guarantee cosmetic condition, paint, or prior usage history beyond what is stated on the invoice.
  • Where permitted by law, products are sold “AS IS” except for any express warranty stated on the invoice or in UAP’s Warranty Policy.

5) Warranty Terms (Summary) — Invoice Controls

Warranty coverage (if any) is strictly limited to what is stated on the invoice and UAP’s published Warranty Policy. In the event of any inconsistency, the invoice controls.

  • USED Standard Warranty: typically six (6) months parts-only unless otherwise stated on the invoice.
  • Extended Parts & Labor: exists only if purchased and listed on the invoice.
  • REMAN Warranty: may be administered by the remanufacturer and may require customer registration.
Warranty Claim Rule: Customers must follow the official claim process and provide documentation. Unauthorized teardown, repair, or disposal of the component may result in denial.

6) Mandatory Inspection & Authorization Process

  1. Customer must contact UAP before removal, teardown, repair, or replacement for any warranty concern.
  2. Provide invoice number, VIN, mileage, and written diagnostics from a licensed facility (photos/videos may be required).
  3. UAP may require inspection, testing, teardown authorization, and supporting service documents.
  4. No reimbursement, repair, or replacement is authorized without prior written approval when required by the warranty terms.

7) Returns, Exchanges & Refunds (Inspection Required)

All returns/exchanges/refunds are subject to UAP approval, receipt of the product, and inspection. UAP may deny any return where the product has been installed, damaged, altered, disassembled, contaminated, or is otherwise not in return-eligible condition.

Return Conditions (General)

  • RMA/Authorization: UAP may require a return authorization before any return is accepted.
  • Inspection: Refunds/exchanges are processed only after the item is received and inspected.
  • Shipping: Shipping/freight and accessorial charges (liftgate, residential, storage, redelivery) are generally non-refundable.
  • Packaging: Customer must package securely. Transit damage caused by improper packaging may void return eligibility.
  • Restocking/Fees: A restocking or handling fee may apply, especially for special orders or returns not due to UAP error (if applicable, stated on invoice or communicated in writing).
No “Try & Return”: UAP does not support returns for parts used for testing, swapping, or troubleshooting where installation/handling causes damage or contamination.

8) Shipping, Delivery, Risk of Loss & Damage Claims

Delivery timelines are estimates and not guaranteed. Unless otherwise required by law, risk of loss transfers upon carrier pickup. Any shipping damage, shortage, or visible package damage must be reported within 48 hours of delivery (or sooner if carrier documentation requires).

  • Customer must inspect shipments upon delivery and note damage/shortage on the delivery receipt where applicable.
  • Refused deliveries may incur freight, handling, or redelivery fees.
  • Carrier claims require timely cooperation and documentation from the customer.

9) Payments, Fraud Prevention & Chargebacks

  • Payment Authorization: By providing payment details, customer authorizes UAP to charge the amount shown on the invoice and any agreed freight/accessorial charges.
  • Fraud Screening: UAP may request ID verification, billing/shipping verification, signed authorization, or additional documentation.
  • Chargebacks: If a chargeback is filed without first giving UAP an opportunity to resolve the issue, UAP may suspend support/claims processing until resolved. If UAP prevails, customer may be responsible for fees and costs to the maximum extent permitted by law.

10) Professional Installation & Safety Disclaimer

Professional installation by a qualified technician is strongly recommended. UAP is not responsible for installation errors, vehicle damage, improper tuning, modification-related failures, or failure to follow manufacturer procedures.

11) SMS Policy & Consent (TCR/CTIA Compliance)

ULTRA AUTO PARTS LLC (“UAP”) uses text messages for customer care, account notifications, and delivery notifications. We do not send spam and we respect opt-out requests.

12) Disclaimer of Warranties; Limitation of Liability

Limitation of Liability: To the maximum extent permitted by law, UAP’s total liability for any claim, whether in contract, tort, or otherwise, is strictly limited to the original purchase price of the part. UAP is not liable for labor, towing, diagnostics, downtime, loss of use, lost profits/income, rental vehicles, storage, incidental, indirect, special, or consequential damages.

NO IMPLIED WARRANTIES: To the maximum extent permitted by law, there are no warranties express or implied, including warranties of merchantability or fitness for a particular purpose, except those expressly stated on the invoice and/or UAP’s written Warranty Policy. Some states do not allow limitations on implied warranties or certain damages; in such cases, these limitations apply only to the extent permitted by law.

13) Governing Law, Venue & Attorneys’ Fees

These Terms and any dispute arising from or related to any transaction with UAP shall be governed by the laws of the State of Texas, without regard to conflict-of-law rules. Venue and jurisdiction shall be exclusively in Harris County, Texas, unless otherwise required by applicable law.

To the maximum extent permitted by law, the prevailing party in any dispute may recover reasonable attorneys’ fees and costs.

14) Severability; No Waiver

  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • No Waiver: Failure to enforce any provision is not a waiver of future enforcement.

15) Privacy Policy
